1. Agreement to Terms
By accessing or using the services provided by Caniya Tasomu Consulting ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.
These Terms of Service apply to all visitors, users, and others who access or use our services.
2. Description of Services
Caniya Tasomu Consulting provides legal consulting, business strategy development, and executive coaching services. Our services include but are not limited to:
- Corporate legal framework development and implementation
- Business strategy consulting and planning
- Executive leadership coaching and development
- Digital transformation advisory services
- Contract lifecycle management
- Risk assessment and mitigation strategies
All services are provided by qualified professionals with expertise in their respective fields.
3. Client Responsibilities
As a client of our services, you agree to:
- Provide accurate and complete information necessary for us to deliver our services
- Cooperate with our consultants and coaches in a timely manner
- Make timely payments for services rendered as outlined in your service agreement
- Use the advice and materials provided for lawful purposes only
- Notify us of any changes to your circumstances that may affect our services
- Respect the confidentiality of our methodologies and proprietary information
4. Payment Terms
Payment for services is due as specified in your service agreement. We accept various payment methods which will be specified in your invoice.
Fees and Billing
Our fees are based on the service package selected or custom arrangements made during the consultation process. All fees are quoted in Canadian dollars unless otherwise specified.
Late Payments
Accounts that are 30 days or more past due may be subject to a late fee of 1.5% per month (18% annually) on the outstanding balance. We reserve the right to suspend services for accounts that are significantly past due.
Taxes
All fees are exclusive of applicable taxes, which will be added to your invoice as required by law.
5. Intellectual Property Rights
All intellectual property rights in our methodologies, processes, frameworks, and materials remain our exclusive property. Upon full payment, we grant you a limited, non-exclusive, non-transferable license to use the deliverables for your internal business purposes.
Client Materials
Any materials, information, or data you provide to us remains your property. You grant us a license to use such materials solely for the purpose of providing our services to you.
Prohibited Use
You may not reproduce, distribute, modify, create derivative works of, publicly display, or exploit our proprietary materials without our express written permission.
6. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or confidential information shared during the course of our engagement.
Our Confidentiality Obligations
We will not disclose your confidential information to third parties except as necessary to provide our services or as required by law. All our team members are bound by confidentiality agreements.
Your Confidentiality Obligations
You agree not to disclose our methodologies, pricing structures, or other proprietary business information to third parties without our written consent.
7. Disclaimer of Warranties
Our services are provided "as is" and "as available" without any warranties of any kind, either express or implied. We do not guarantee specific results from the use of our services.
While we strive to provide accurate and timely information, we do not warrant that our services will be uninterrupted, secure, or error-free.
We are not a law firm and do not provide legal representation. Our legal consulting services are advisory in nature and should not be construed as legal advice or the practice of law.
8. Limitation of Liability
To the maximum extent permitted by law, Caniya Tasomu Consulting shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from:
- Your access to or use of or inability to access or use our services
- Any conduct or content of any third party related to our services
- Unauthorized access, use, or alteration of your transmissions or content
- Any decisions or actions taken based on our advice or services
Our total liability to you for all claims arising out of or relating to these terms or your use of our services shall not exceed the amount paid by you to us for services in the six months preceding the claim.
9. Indemnification
You agree to defend, indemnify, and hold harmless Caniya Tasomu Consulting and its affiliates, directors, officers, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms of Service or your use of our services.
10. Termination
Either party may terminate the service agreement with written notice if the other party materially breaches these terms and fails to cure such breach within 30 days of receiving written notice of the breach.
Effects of Termination
Upon termination, all outstanding fees become immediately due and payable. The provisions of these terms that by their nature should survive termination will survive termination, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
11. Governing Law and Dispute Resolution
These Terms of Service shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein.
Dispute Resolution
Any dispute arising from these terms or our services shall first be attempted to be resolved through good faith negotiations between the parties. If negotiations fail, the dispute shall be referred to mediation before pursuing other legal remedies.
Jurisdiction
You agree that any legal action or proceeding relating to these terms or our services shall be brought exclusively in the courts located in Toronto, Ontario, Canada.
12. Changes to Terms
We may modify these Terms of Service at any time. If we make material changes, we will provide notice through our website or by other means to give you the opportunity to review the changes before they become effective.
Your continued use of our services after any modification to these terms constitutes your acceptance of the modified terms.
13. Miscellaneous
Entire Agreement
These Terms of Service, together with any service agreements and policies referenced herein, constitute the entire agreement between you and Caniya Tasomu Consulting regarding our services.
Severability
If any provision of these terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
Waiver
Our failure to enforce any right or provision of these terms will not be considered a waiver of those rights.
Assignment
You may not assign or transfer these Terms of Service without our prior written consent. We may assign or transfer these terms without restriction.
